California tax clearance is a closing issue worth raising early. Fresno Business Brokers Prime connects owners with a valuation partner; the seller, buyer and their professional advisors handle the applicable tax steps.

What the clearance addresses

CDTFA guidance tells a buyer to request a certificate of tax and fee clearance. Without the appropriate clearance, the buyer may be liable for certain unpaid amounts of the seller, subject to the applicable rules.

This is separate from agreeing the price or obtaining a new seller's permit. Do not assume a signed sale agreement removes the buyer's potential exposure.

Decide who will request it

The request can be made through CDTFA online services or in writing. Coordinate the business details, locations and proposed transaction with your escrow holder, accountant or attorney.

Where only some locations are being acquired, the agency guidance calls for a clearance for each acquired location. Confirm how that applies to the business being sold.

Make room for amounts that must be resolved

CDTFA reviews whether money is owed and may advise that an amount be withheld from the purchase price. Payment may be needed before the clearance can be issued.

Ask your advisors to coordinate the request with closing funds and any outstanding filings. A valuation request does not submit a clearance application or resolve the tax account.

Keep other agency steps separate

Payroll tax release, contractor licensing and permit closeout are different questions. Use the requirements for your transaction rather than treating one clearance as approval for the whole sale.
